General terms and conditions governing IT services provided by Maestro Solutions.

Scope & Acceptance

These General Terms and Conditions ("Terms") govern the business relationship between Maestro Solutions ("Provider") and the legal entity or individual engaging its services ("Client").

By accepting a written proposal or signing a contract, the Client confirms having read, understood and accepted these Terms in full.

Definitions

  • "Provider" -Maestro Solutions, IT studio headquartered in Smederevo, Serbia.
  • "Client" -the legal entity or individual accepting the proposal and engaging the Provider.
  • "Project" -the scope of work defined by the brief and accepted written proposal.
  • "Services" -all activities and deliverables agreed in the proposal: web development, AI integrations, hosting, IT support, design, SEO, and copywriting.
  • "Brief" -the Client's written description of requirements, objectives and constraints.

Contract Formation

A business relationship is formed on the date the Client accepts the Provider's proposal in writing (via email or signed document). A proposal is valid for 14 calendar days from its issue date, unless otherwise stated.

For projects involving confidential Client information, the Provider may require a Non-Disclosure Agreement (NDA) before delivering detailed specifications.

Pricing & Payment

All prices are denominated in euros (EUR) and exclude VAT, unless otherwise stated in the proposal.

  • Payment terms: 7 calendar days from invoice date, unless otherwise agreed.
  • The standard payment schedule for projects is 50% in advance before work begins, 30% upon delivery for testing, and 20% upon go-live. For smaller projects (under €500), a single upfront payment before work begins is standard.
  • If payment is overdue by more than 14 calendar days, the Provider reserves the right to suspend project work and/or active hosting and SLA services until the outstanding balance is settled.
  • Fixed monthly subscription costs (hosting, SLA) are invoiced in advance for each billing period.

Delivery

Delivery timelines are defined in the proposal or written project plan. Delays caused by the Client's failure to deliver materials, content, access, or approvals on time are not the Provider's responsibility and will proportionally extend the agreed deadline.

For larger projects, delivery is organized in phases with clearly defined milestones.

Client Obligations

  • Timely delivery of all required materials, content, access, and approvals within agreed timeframes.
  • Designation of a single contact person responsible for approvals and project communication.
  • Payment of invoices within agreed terms.
  • Timely provision of feedback within agreed review cycles.
  • Prompt notification of changes in requirements that may affect project scope or timeline.

Provider Obligations

  • Delivering services within the scope and timeline defined by the accepted proposal.
  • Regular status updates and availability via agreed communication channels.
  • Proactive communication about risks or changes that may affect the project.
  • Maintaining confidentiality of all Client information.

Intellectual Property

All intellectual property rights in deliverables (code, design, documentation) transfer to the Client in full only upon settlement of all outstanding financial obligations under the project.

Until full payment, the Client may use the deliverables exclusively for purposes agreed in the project.

The Provider retains the right to list the completed project in its portfolio. Display of confidential business details will be agreed with the Client beforehand.

Open-source libraries, third-party tools and components used in the project retain their respective licenses and are not subject to transfer.

Limitation of Liability

The Provider's total liability for damages arising from a project or services is limited to the total value of the applicable contract.

The Provider is not liable for indirect damages, lost profits, data loss caused by Client error, third-party infrastructure failures, or circumstances beyond the Provider's control (force majeure).

The Provider does not assume liability for the legal compliance of content supplied by the Client for publication.

Hosting SLA

For hosting services contracted on a monthly or annual basis, the Provider guarantees server availability (uptime) of 99.9% per month, measured at the network infrastructure level.

  • Scheduled maintenance is announced at least 24 hours in advance and is excluded from the uptime calculation.
  • Circumstances outside the Provider's control -DDoS attacks, upstream provider outages, force majeure -are excluded from the SLA guarantee.
  • If downtime exceeds the guaranteed threshold, the Client is entitled to a credit on the next invoice proportional to the period of unavailability.

Confidentiality

Each party treats the other's business, technical and financial information as confidential trade secrets and may not disclose it to third parties without prior written consent.

This obligation survives the termination of the business relationship and has no time limit.

Termination

Either party may terminate the engagement with 15 calendar days' written notice.

  • The Client is obligated to pay for all services rendered up to the termination date, including the current billing period.
  • In the event of a material breach by the Client (non-payment, system abuse, legal violations), the Provider may terminate the engagement immediately without notice.
  • Upon termination, the Client loses access to Provider services (hosting, SLA) at the end of the current period.

Governing Law & Disputes

All business relationships arising from these Terms are governed by the law of the Republic of Serbia.

The parties will seek to resolve any dispute by mutual agreement. If no agreement is reached, the dispute shall be submitted to the competent court in Smederevo, Serbia.
